DEFINITIONS: ForeclosureRegistry.com and any of its legal representatives (hereafter referred to as “FRC”) Subscribing entity (individual, company, partnership, trust, corporation, or any other entity which obtains a legal subscription to this service, hereafter known as “CUSTOMER”) PRIVACY POLICY Use Of Your Email Address Or Name ForeclosureRegistry.com does NOT share, sell, or rent its membership mailing list, email addresses, or other information. If you supply us with your email address you may receive email mailings from us with information on upcoming events, new products and services, and general newsletter information. If you do not wish to receive such mailings, please let us know by using the unsubscribe feature at the bottom of such mailings. Information We Collect For each visitor to our website, our web server does not recognize information regarding the domain or e-mail address. The software in use on our server(s) does collects the e-mail addresses and IP addresses of those who post or upload to our website, the content of those posts or uploads, the e-mail addresses of those who communicate with us via e-mail, aggregate information on what pages consumers access or visit, information volunteered by users such as survey information and/or site registrations, name and address (if supplied), and telephone number (if supplied), and all information included in the standard HTTPD server logs. The server also uses cookies to store user preferences and record session information. The information we collect is used to improve the content of our website, shared with agents or contractors who assist in providing support for our internal operations, disclosed when legally required to do so, at the request of governmental authorities conducting an investigation, to verify or enforce compliance with the policies governing our website and applicable laws or to protect against misuse or unauthorized use of our Website. FRC shall not be held liable for any mistakes, discrepancies, and/or changes made by the Trustee, original source publisher, redemptions made by the borrower, or for any typographical errors or mistakes made in any of the listings. CUSTOMER agrees to indemnify and hold harmless FRC for any discrepancies noted within any listing, incompleteness of data, timeliness of listings, and disruptions of service. CUSTOMER’S ACKNOWLEDGMENTS: CUSTOMER acknowledges, without exception, the following terms. CUSTOMER understands and agrees that access to the Internet is required in order to access the services of FRC. CUSTOMER agrees to furnish his/her own access lines, equipment, and subscriptions. Inability of CUSTOMER to access the Internet does not constitute grounds for a rebate of service fees paid to FRC. CUSTOMER understands and agrees that services provided by FRC are granted on an as-is, as available basis, and FRC makes no warranties as to the availability of the service. Specifically, CUSTOMER understands that outages and disruptions of services will occur periodically due to circumstances beyond FRC’s control, and CUSTOMER agrees to indemnify and hold harmless FRC for such service outages. CUSTOMER agrees not to reproduce, sell, publish, copy, distribute, or in any manner commercially exploit any information obtained through the FRC service or participate in or allow any such activity by any other entity or person, except with the express written consent of FRC. CUSTOMER agrees not to share his/her password with any other individual or entity. CUSTOMER further agrees that FRC has the right to enforce this through means of disallowing simultaneous logins of CUSTOMER’s unique User ID to the service. Violating this term will constitute grounds for FRC terminating CUSTOMER’s service. TERM OF CONTRACT: This contract shall be extended automatically on a recurring basis, the duration of which is described clearly for each service offered, at the prevailing rate. CUSTOMER agrees to pay fees levied against CUSTOMER’s credit card, checking account, and all other means of payment as described in accordance with the agreement made with the issuing financial institution. CUSTOMER understands and agrees that the rates indicated on this site for service will be charged automatically, and without CUSTOMER’s further consent until such time as CUSTOMER terminates service with FRC. TERMINATION OF CONTRACT: CUSTOMER agrees to terminate this contract before the beginning of the next billing cycle for CUSTOMER’s service. CUSTOMER agrees that refunds will not be issued for any remaining service due until the beginning of the next billing cycle. CUSTOMER agrees to terminate service with FRC in one of the following ways: 1) CUSTOMER may terminate service with FRC via the system provided on FRC’s site 2) CUSTOMER may terminate service by sending an email requesting cancellation to FRC via the address listed on the Contact information page of FRC’s web site. 3) CUSTOMER may terminate service by sending a request, in writing, to FRC at: ForeclosureRegistry.com 8472 Indian Hills Dr Nashville, TN 37221 BILLING AND PAYMENT CUSTOMER agrees to pay FRC the prevailing rate listing on FRC’s web site for each recurring period, as listed in the description of the service chosen by CUSTOMER. CUSTOMER agrees that all fees must be paid in advance to FRC. Should payment not be made in full, in advance, FRC has the right to suspend CUSTOMER’s service until such time as payment is made in full. CUSTOMER agrees that CUSTOMER is responsible for any costs associated with collecting any balance due to FRC including, but not limited to: Court costs, attorneys fees, and collection company charges. FRC may, at its option, temporarily suspend service for any account not paid in full at the beginning of the CUSTOMER’s billing cycle. CUSTOMER may reinstate service by paying the amount owed in full at any time prior to 30 days after the beginning of the next billing period. After 30 days, FRC has the right to terminate the account without further notification. REFUNDS: Any service fees paid for a subscription to FRC’s web service are NON-REFUNDABLE. CUSTOMER waives the right to request any refund from FRC or the issuing financial institution of CUSTOMER’s primary means of payment. ASSIGNMENT: This agreement may not be assigned, in whole or part, by CUSTOMER to any other legal entity or person without the express written consent of FRC. CONSEQUENTIAL DAMAGES: Neither CUSTOMER nor FRC shall be liable to the other party for any indirect, special, or consequential damages. FORCE MAJEURE: Neither party shall be responsible for delays, failures, interruptions, or outages of service resulting from acts beyond the control of the parties. Such acts include, but are not limited to, acts of God, strikes, riots, acts of war, terrorism, governmental regulations imposed after the face, fire, communication line failures, power failures, and natural disasters. SEVERABILITY: If any term or provision of this agreement shall be found to violate the laws of the federal, state, or local governments, this agreement shall remain in full force and effect and such term and provision shall be deemed stricken. AMENDMENTS: No amendments of this agreement shall be effective unless it is in writing and signed by both CUSTOMER and FRC. AUTHORITY: Each party has full power and authority to enter into and perform this contract and the persons signing this contract on behalf of each has been properly authorized and empowered to enter into this contract. Each party further acknowledges that it has read this agreement, understands it, and agrees, without duress, to be bound by it. ENTIRE AGREEMENT: This contract constitutes the entire agreement between the parties with respect to this subject matter; all prior agreements, representation, statements, negotiations and undertakings are superseded hereby. NOTICE: Any notice required or permitted to be given hereunder, shall be in writing and shall be by certified mail to CUSTOMER at the address provided by CUSTOMER to FRC and to FRC at the address listed on the Contact page of FRC’s web site. OWNERSHIP AND DISSEMINATION OF THE DATABASE: FRC and its suppliers shall remain the exclusive owner of all rights, title, and interest in the database and data licensed hereunder and all copyrights and renewals thereof, heretofore or hereafter secured therein. All publication, dissemination and other rights of the database and the data licensed hereunder are reserved for FRC and its suppliers in all languages, formats and media throughout the world for the sole and exclusive use of any other disposition by FRC or its assignees or grantees at anytime and from time to time without obligation or liability to the CUSTOMER. FRC reserves the right to exclude CUSTOMER from the database, without cause, and terminate this agreement with CUSTOMER. RESPONSIBILITY FOR USE AND LIMITATION OF LIABILITY: CUSTOMER assumes sole responsibility for all use of the database and data. THIS SERVICE, DATABASE, AND DATA ARE MADE AVAILABLE TO CUSTOMER ON A \\\\\\\\\\\\\\\\\\\\\\\\\\\\\\\"AS IS, AS AVAILABLE\\\\\\\\\\\\\\\\\\\\\\\\\\\\\\\" BASIS WITHOUT WARRANTY, EXPRESSED OR IMPLIED. FRC DISCLAIMS ANY WARRANTY THAT THE DATABASE IS ERROR-FREE OR THAT ACCESS to FRC SYSTEM WILL BE UNITERRUPTED. FRC representatives are not authorized to assist with the performance of professional work. If CUSTOMER requests and receives assistance from FRC personnel in researching any particular information, such assistance shall be at CUSTOMER\\\\\\\\\\\\\\\\\\\\\\\\\\\\\\\'s risk, and FRC shall not have responsibility or liability with respect thereto, FRC\\\\\\\\\\\\\\\\\\\\\\\\\\\\\\\'s full liability hereunder for any and all claims of damages, for any cause whatsoever, and regardless of the form of the actions, whether, in contract or tort, including negligence, shall be limited to the fee paid or payable by CUSTOMER for access to and use of the database and data during the period any events which are the basis for any such claim(s) occur. IN NO EVENT SHALL FRC BE LIABLE FOR ANY DAMAGES RESULTING FROM CUSTOMER\\\\\\\\\\\\\\\\\\\\\\\\\\\\\\\'S INABILITY OR FAILURE TO PERFORM PROFESSIONAL WORK OR FOR ANY LOST PROFITS OR ANY OTHER CONSEQUENTIAL, EXEMPLARY OR SPECIAL DAMAGES RELATING IN WHOLE OR PART TO CUSTOMER’S RIGHTS UNDER THIS AGREEMENT, EVEN IF FRC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FRC reserves the right to cancel any subscription, membership or service with, or without cause if a breach of the terms listed herein. This contract and all of its terms pertains to Internet data as well as any other information provided online or offline by FRC, its affiliates, distributors or successors. Advanced fees are non-refundable and services are non-cancelable until the termination date of this contract. Prices are subject to change without notice.
